Terms governing your use of ZipRio and marketplace transactions.

Terms of Service

Effective Date: March 18, 2026

These Terms of Service ("Terms") are a legal agreement between you and ZipRio ("ZipRio," "we," "our," or "us"). By accessing or using ZipRio websites, APIs, apps, and marketplace services (collectively, the "Services"), you agree to these Terms.

1. Who May Use ZipRio

You must be legally able to enter a contract in your jurisdiction. If you use ZipRio on behalf of a company, you represent that you have authority to bind that company to these Terms.

2. Accounts and Security

  • You must provide accurate account information and keep it updated.
  • You are responsible for all activity under your account credentials.
  • You must promptly report unauthorized access or security incidents.
  • We may suspend or terminate accounts for fraud, abuse, or policy violations.

3. Marketplace Roles

ZipRio operates a multi-vendor marketplace. Sellers publish listings; buyers purchase licenses to digital assets. Unless explicitly stated otherwise, ZipRio is not the author, owner, or licensor of seller content.

4. Seller Responsibilities

  • You may only list content you have legal rights to distribute and license.
  • Listings must accurately describe files, compatibility, limitations, and license scope.
  • You may not upload malware, backdoors, credential stealers, deceptive code, or unlawful content.
  • You must comply with export controls, sanctions, tax law, and consumer protection law.

5. Buyer Responsibilities

  • You must review listing details and license terms before purchasing.
  • You may use purchased assets only within the granted license scope (e.g., seat limits, commercial scope, redistribution restrictions).
  • You may not use assets to violate law or third-party rights.

6. Licenses and Intellectual Property

Sellers grant buyers limited rights defined by the license selected at checkout. All rights not expressly granted are reserved by the seller or rights holder. ZipRio does not claim ownership of seller content.

7. Payments, Fees, and Taxes

  • By purchasing, you authorize charges including the listed price, applicable platform fees, and taxes.
  • Seller payouts, fee schedules, reserve periods, and settlement timing are described in the Seller Terms and may vary by risk profile, payment method, and region.
  • You are responsible for any taxes applicable to your purchases or sales.

8. Refunds, Chargebacks, and Disputes

Refund policies may be listing-specific or mandated by applicable law. We may reverse payouts, place reserves, or restrict accounts when chargeback or fraud risk is elevated. Disputes should first be raised through our Help page.

9. Moderation and Enforcement

We may review listings, metadata, and uploaded files for trust and safety. We may remove or restrict content, pause listings, or suspend accounts when we detect abuse, IP infringement, malware risk, policy violations, or legal non-compliance.

10. Security, Malware, and AI Agent Access

  • Uploaded files may be scanned and quarantined pending safety checks; publication may be blocked until required checks pass.
  • API and automated agent access must follow published rate limits and acceptable use rules.
  • You may not attempt to bypass access controls, abuse rate limits, or scrape restricted data.

11. Prohibited Conduct

Prohibited conduct includes fraud, impersonation, IP infringement, malware distribution, unlawful content, harassment, sanctions evasion, payment abuse, and attempts to compromise platform security.

12. Third-Party Services

Our Services integrate third-party providers for payments, hosting, analytics, and storage. Their terms and policies may apply to your use.

13. Disclaimers

The Services are provided "as is" and "as available" to the maximum extent permitted by law. We do not guarantee uninterrupted availability, error-free operation, or that marketplace content is accurate or fit for your purpose.

14. Limitation of Liability

To the maximum extent permitted by law, ZipRio is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or lost profits, revenue, data, or goodwill arising from your use of the Services.

15. Indemnification

You agree to defend, indemnify, and hold harmless ZipRio and its affiliates from claims, liabilities, losses, and expenses arising from your content, your use of the Services, or your breach of these Terms.

16. Termination

You may stop using ZipRio at any time. We may suspend or terminate access for violations, legal risk, or security concerns. Sections covering payments, IP, disclaimers, liability, indemnity, and dispute resolution survive termination.

17. Changes to Terms

We may update these Terms. Material changes become effective when posted unless a later date is stated. Continued use after the effective date constitutes acceptance.

18. Governing Law

These Terms are governed by the laws of the jurisdiction stated in your applicable service agreement or checkout terms.
